Terms of service

These terms are a contract between you and Off Script Foundry, Inc., a Delaware corporation. Compound is our product. By using it you accept these terms, and if you do not accept them, do not use it.

If you are accepting on behalf of a company, you are confirming that you can bind that company, and "you" in these terms means that company.

Compound is a firm of AI specialists that reads your product and produces the work a product team would produce: findings, specs, experiment designs, ideas, and the record of the decisions behind them.

It is closed, invite only, and in active development. Parts of it are being built while you use it. That is the deal at this stage, and the sections on availability and disclaimers below say plainly what it means.

Your seat is yours. Do not share your password, do not hand your account to someone else, and tell us quickly if you think anyone else has access to it. Everything done under your account is treated as done by you.

We can withdraw a seat, and if we do we will tell you why.

You can connect Compound to an AI coding client over an authenticated connection using an access token. That token is a credential and it deserves the care you would give a password.

The token belongs in your client's configuration file or in an environment variable. It does not belong inside a command, an issue, a message, or a prompt that you paste anywhere else. A setup command reads as safe to copy and share, which is exactly what happens to it.

Tokens expire on their own, and you can revoke one at any time from your settings. Anything done with a valid token counts as done by you, so if you find a token you cannot account for, revoke it.

You own everything you put into Compound. Nothing here changes that.

You give us a licence to host it, store it, process it, display it back to you, and send the parts a piece of work needs to our model provider, for one purpose only: running Compound for you. The licence covers nothing else, and it ends when you delete the content or close your account.

We will not use your content to train models, to build something for another client, or as a public example, unless you ask us to.

In return, two things are on you: you need the right to give us everything you upload, and you need to keep out the material listed in the privacy policy, which is special category personal data, government identifiers, payment details, and credentials for your own systems.

Deliverables produced for you are yours. To the extent we hold any rights in them, we assign those rights to you as they are produced, and you can use them however you like.

Two honest limits sit alongside that:

• Ideas are not exclusive. Compound works on other products, and a model can produce similar output for two clients facing a similar problem. We do not promise that a deliverable is unique to you, and we cannot.
• The system stays ours. The agents, the prompts, the interfaces, the way Compound works, and anything we learn about building it are ours, and this agreement does not transfer any of it.

Every deliverable Compound produces is generated by a model. That has consequences you should hold in mind on every single one:

• It can be wrong. It can be out of date. It can be confidently plausible and still false.
• It is a draft for a person to judge, not an instruction to follow.
• It is not legal, financial, medical, tax or any other professional advice.
• You are responsible for reviewing a deliverable before you act on it, and for what happens when you ship it.

Compound is built to make that review fast and worth doing. It is not built to remove it, and you should not use it as though it were.

Do not use Compound to:

• break the law, or help anyone else do it
• upload content you do not have the right to upload
• gain access to any part of the system you were not given, or probe, scan or load test it without asking us first
• reverse engineer, resell, sublicense or white label the service
• build a competing product from it
• generate anything unlawful, deceptive, or intended to harm someone
• get around the invite list, or pass your seat to someone who was not given one

If you break these, we can suspend or end your access.

We treat your product context and your deliverables as confidential. We do not publish them, and there is no public route out of Compound: what leaves goes through the authenticated connection you set up, or through your own copy and paste.

You agree to keep confidential the non public parts of Compound you see while using it, including unreleased features.

Neither obligation covers something that is already public, that you or we already had, or that the law requires to be disclosed. Both survive the end of your account.

Compound is provided at no charge during the closed pilot. If we introduce fees, we will tell you before they apply to you, and you can simply stop using the service instead. We will never charge you for something you have already used without having told you first.

There is no uptime commitment while the product is closed. We will take it down for maintenance, we will change how it works, and sometimes we will remove something.

Where a change would meaningfully reduce what you already have, we will give you notice rather than doing it quietly.

You can stop using Compound whenever you like, and ask us to close your account.

We can end your access if you break these terms, if a legal or security reason requires it, or if we discontinue the service. We will give reasonable notice, unless the reason makes notice impossible.

When it ends: ask and we will export your content for you, and we then delete it on the schedule in the privacy policy. The sections on confidentiality, your ownership, disclaimers, liability and indemnity survive.

Compound is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non infringement.

We do not warrant that the service will be uninterrupted or error free, that a deliverable will be accurate, or that acting on one will improve any metric.

To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, nor for lost profits, lost revenue, lost data or lost business opportunity, even if we were told they were possible.

Our total liability for all claims arising out of or relating to Compound is capped at the greater of the amount you paid us in the 12 months before the claim, or US$100.

Nothing in these terms excludes liability that cannot lawfully be excluded, including fraud, and death or personal injury caused by negligence.

You will defend and indemnify Off Script Foundry, Inc. against claims, damages and reasonable costs arising from content you upload, from your use of a deliverable, or from your breach of these terms. We will tell you promptly about any such claim and let you control the defence of it.

These terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules, and the state and federal courts located in Delaware have exclusive jurisdiction.

If you are a consumer in a country whose law gives you the right to bring a claim in your local courts, that right is not taken away by this section.

These terms, together with the privacy policy, are the whole agreement between us about Compound and replace anything said before.

You cannot assign this agreement without our written consent. We can assign it as part of a merger or sale of the business. If any part of it turns out to be unenforceable, the rest stays in force. Not enforcing something once does not waive it.

We can update these terms. When we do, the date at the top of this page moves, and if the change is material we will email account holders before it takes effect.
